This SEPARATION AND DISTRIBUTION AGREEMENT, dated as of March 31, 2022 (this “Agreement”), is by and between Becton, Dickinson and Company, a New Jersey corporation (“Parent”), and Embecta Corp., a Delaware corporation (“SpinCo”).
