This Consulting Agreement (the “Agreement”) is made and entered into this 1st day of January 2022 by and between Athenex, Inc., a Delaware corporation with its principal office at Conventus Building, 1001 Main Street, Suite 600, Buffalo, New York 14203 (“Athenex”) and Simon Pedder, with its principal office at #### (“Consultant”). Athenex and Consultant are sometime referred to herein each as a “Party,” and together as the “Parties.”
