This SEPARATION AND DISTRIBUTION AGREEMENT, dated as of September 29, 2021 (this “Agreement”), is by and between International Paper Company, a New York corporation (“Parent”), and Sylvamo Corporation, a Delaware corporation (“SpinCo”).
