We have acted as counsel to Western Alliance Bancorporation, a Delaware corporation (the “Company”), in connection with the issuance and sale to the Underwriters by the Company of $600,000,000 in aggregate principal amount of the Company’s 3.00% Fixed to Floating Rate Subordinated Notes due 2031 (the “Notes”) pursuant to the Underwriting Agreement dated June 3, 2021 (the “Agreement”) between the Company and you, as the Representative of the several Underwriters.
