THIS AGREEMENT is effective as of 05/01/2021 (the “Effective Date”), by and among each of BLACKROCK VARIABLE SERIES FUNDS, INC. AND BLACKROCK VARIABLE SERIES FUNDS II, Inc., each an open-end management investment company (each, the “Fund”), BLACKROCK INVESTMENTS, LLC (“BRIL” or the “Underwriter”), a broker-dealer registered as such under the Securities Exchange Act of 1934, as amended (the “1934 Act”), and MINNESOTA LIFE INSURANCE COMPANY, a life insurance company organized under the laws of the state of Minnesota (the “Company”), on its own behalf and on behalf of each separate account of the Company set forth on Schedule A, as may be amended from time to time (each separate account hereinafter referred to individually as an “Account” and collectively as the “Accounts”).

BLACKROCK VARIABLE SERIES FUNDS, INC. and BLACKROCK VARIABLE SERIES FUNDS II, INC. (each, the “Company”), each on behalf of its series as may be amended from time to time (the “Portfolios”), and Minnesota Life Insurance Company (the “Insurance Company”) mutually agree to the arrangements set forth in this Agreement (the “Agreement”) dated as of 05/01/2021.
