THIS AGREEMENT is effective as of 05/01/2021 (the “Effective Date”), by and among each of BLACKROCK VARIABLE SERIES FUNDS, INC. AND BLACKROCK VARIABLE SERIES FUNDS II, Inc., each an open-end management investment company (each, the “Fund”), BLACKROCK INVESTMENTS, LLC (“BRIL” or the “Underwriter”), a broker-dealer registered as such under the Securities Exchange Act of 1934, as amended (the “1934 Act”), and MINNESOTA LIFE INSURANCE COMPANY, a life insurance company organized under the laws of the state of Minnesota (the “Company”), on its own behalf and on behalf of each separate account of the Company set forth on Schedule A, as may be amended from time to time (each separate account hereinafter referred to individually as an “Account” and collectively as the “Accounts”).

Minnesota Life Insurance Company, a Minnesota life insurance company (the “Company”), on its own behalf and on behalf of each segregated asset account of the Company as set forth on Schedule A, previously entered into a Fund Participation Agreement dated August 16, 2007 with Janus Aspen Series, an open-ended management investment company organized as a Delaware business trust (the “Trust”), and Janus Distributors LLC (the “Distributor”). The parties now desire to amend the Agreement by this Amendment (the “Amendment”) effective as of May 1, 2019.
