THIS ASSET ACQUISITION AGREEMENT (the “Agreement”) is made and entered into as of January 21, 2019, by and between: REPHARMATION INC., a Delaware corporation (“Acquiror”); GIRAFPHARMA LLC, a Delaware limited liability company (“Transferor”); and David Hung (“Founder”).
