THIS BACKSTOP COMMITMENT AGREEMENT (this “Agreement”), dated as of October 12, 2020, is made by and among Noble Corporation plc, a company organized under the Laws of England and Wales (the “Company”) and each of its direct and indirect debtor subsidiaries that filed chapter 11 cases on July 31, 2020, and September 24, 2020 (the “Chapter 11 Cases”), under Title 11 of the United States Code, 11 U.S.C. §§ 101-1532 (as it may be amended from time to time, the “Bankruptcy Code”) currently pending in the United States Bankruptcy Court for the Southern District of Texas (the “Bankruptcy Court”) (together with the Company, each a “Debtor” and, collectively, the “Debtors”), on the one hand, and the Backstop Parties set forth on Schedule 1 hereto, as may be amended, supplemented or otherwise modified from time to time in accordance with this Agreement (each referred to herein, individually, as a “Backstop Party” and, collectively, as the “Backstop Parties”), on the other hand.
