This Purchase and Sale Agreement (this “Agreement”), dated as of October 5, 2020 (the “Effective Date”), is made by and between DOMINION ENERGY QUESTAR CORPORATION, a Utah corporation (“Seller”) and BERKSHIRE HATHAWAY ENERGY COMPANY, an Iowa corporation (“Buyer”) and, solely with respect to Section 2.1(b), Section 5.6, Section 5.13, Section 9.2 and Article XI, DOMINION ENERGY, INC., a Virginia corporation (“DEI” or “Guarantor”).
