HEXO Corp., a corporation incorporated under the laws of Ontario (the “Corporation”), confirms its agreement (this “Agreement”) with AltaCorp Capital Inc. (the “Canadian Agent”) and Oppenheimer & Co. Inc. (the “U.S. Agent”, and together with the Canadian Agent, the “Agents”) to issue and sell common shares of the Corporation (the “Shares”) upon and subject to the terms and conditions contained herein. Capitalized terms used herein have the meanings given to them in Section 24 hereof.
