This Board Observer Agreement (this “Agreement”) is entered into by and between Global Ship Lease, Inc., a Marshall Islands corporation (the “Company”) and B. Riley FBR, Inc., a Delaware corporation (“B. Riley FBR”) and B. Riley Financial, Inc., a Delaware corporation (the “Shareholder”). The Company, B.
