THIS CREDIT AGREEMENT (as hereafter amended, the “Agreement”) is dated as of February 21, 2020 and is made by and among RPM INTERNATIONAL INC., a Delaware corporation (together with its successors and assigns, to the extent permitted under this Agreement, the “Company” or the “Domestic Borrower”) and RPM NEW HORIZONS NETHERLANDS B.V., a corporation incorporated under the laws of the Netherlands (together with its successors and assigns, to the extent permitted under this Agreement, “RPM Netherlands” or the “Foreign Borrower”; and together with the Company, referred to herein as a “Borrower” and collectively referred to as the “Borrowers”), the LENDERS (as hereinafter defined) from time to time a party hereto, PNC BANK, NATIONAL ASSOCIATION, in its capacity as administrative agent for the Lenders under this Agreement (hereinafter referred to in such capacity as the “Administrative Agent”), PNC Capital Markets LLC, as the lead arranger and the sole bookrunner.
