This CREDIT AND GUARANTY AGREEMENT, dated as of November 22, 2019, is entered into by and among TIVO CORPORATION, as Borrower, CERTAIN SUBSIDIARIES OF BORROWER, as Guarantors, the Lenders and Issuing Banks party hereto from time to time, MORGAN STANLEY SENIOR FUNDING, INC.
