This Cooperation Agreement (this “Agreement”), dated as of May 1, 2019, is by and among The Sonic Fund II, L.P., a Delaware limited partnership, and Lawrence Kam, a natural person (each, a “Sonic Party,” and together, the “Sonic Parties”), and Adverum Biotechnologies, Inc., a Delaware corporation (the “Company”).
