THIS COMPENSATION PROTECTION AGREEMENT (the “Agreement”) is entered into effective as of January 1, 2020 (the “Effective Date”) by and among CDW Corporation, a Delaware corporation (the “Company”), CDW LLC, an Illinois limited liability company and wholly owned subsidiary of the Company (“CDW LLC”), and Christine A. Leahy (the “Executive”). As of the Effective Date, this Agreement shall supersede in its entirety the Amended and Restated Compensation Protection Agreement dated January 1, 2019 by and among the Company, CDW LLC and the Executive.

[As of the Effective Date, this Agreement shall supersede in its entirety the Compensation Protection Agreement previously entered into by and among the Company, CDW LLC and the Executive.]1
