THIS VOTING TRUST AGREEMENT (this “Agreement”) is made and entered into effective for all purposes and in all respects as of June 11, 2018 and among Lord Securities Corporation, as trustee (the “Trustee” or any successor thereto), Citibank, N.A., a national banking association, including its successors and assigns by operation of law (the “Purchaser”) and Glass Lewis & Co., LLC (the “Voting Consultant” or any successor thereto).

In order to consummate the reorganization contemplated herein (the “Reorganization”) and in consideration of the promises and the covenants and agreements hereinafter set forth, and intending to be legally bound, BlackRock New Jersey Municipal Income Trust, a registered non-diversified closed-end investment company, File No. 811-10335 (the “Target Fund”) and BlackRock MuniYield New Jersey Fund, Inc., a registered non-diversified closed-end investment company, File No. 811-06570 (the “Acquiring Fund” and together with the Target Fund, the “Funds”), each hereby agree as follows:
