THIS SUB-ADVISORY AGREEMENT (this “Agreement”) is made as of the 10th day of April, 2017, among Great-West Funds, Inc, a Maryland corporation (“Great-West Funds”) on behalf of the Great-West Core Bond Fund (the “Fund”), Great-West Capital Management, LLC, a Colorado limited liability company (the “Adviser”), and Wellington Management Company LLP, a Delaware limited liability partnership (the “Sub-Adviser”).

This Investment Advisory Agreement is made this 1st day of May, 2017 (this “Agreement”), by and between Great-West Funds, Inc, a Maryland corporation (“Great-West Funds”), and Great-West Capital Management, LLC, a Colorado limited liability company registered as an investment adviser under the Investment Advisers Act of 1940 (the “Adviser”).

This Amendment No.1 (the “Amendment”) made this 10th day of April, 2017, amends the Agreement, dated December 5, 2013, by and among Great-West Capital Management, LLC (the “Adviser”), a Colorado limited liability company registered as an investment adviser under the Investment Advisers Act of 1940 (the “Advisers Act”), Federated Investment Management Company (the “Sub-adviser”), a business trust organized under the laws of the State of Delaware, registered as an investment adviser under the Advisers Act, and Great-West Funds, Inc., a Maryland corporation (the “Fund”), on behalf of Great-West Core Bond Fund (f/k/a Great-West Federated Bond Fund) (the “Portfolio”).
