Laboratory Corporation of America Holdings, a corporation organized under the laws of Delaware (the “Company”), proposes to sell to the several underwriters named in Schedule II hereto (the “Underwriters”), for whom you (“you” or the “Representatives”) are acting as representatives, the principal amount of its notes identified in Schedule I hereto (the “Notes”), to be issued under an indenture dated as of November 19, 2010 as supplemented by the Eleventh Supplemental Indenture to be dated August 22, 2017 and the Twelfth Supplemental Indenture to be dated August 22, 2017 (collectively, the “Indenture”), each between the Company and U.S. Bank National Association, as trustee (the “Trustee”).
