This letter agreement relates to the discussions between CDI Corp. (“CDI”) and its affiliates and AE Industrial Partners, LLC and its affiliates (“AE”) regarding the potential acquisition (the “Potential Acquisition”) of CDI and its subsidiaries (collectively, the “Company”).
