Entercom Communications Corp. (the “Employer”) and David J. Field (the “Executive”) are parties to an Amended and Restated Employment Agreement, made and entered into as of April 22, 2016 (the “Agreement”). Employer and Executive mutually desire to enter into this Waiver Agreement as an amendment to the Agreement:

This SECOND AMENDMENT (this “Second Amendment”), effective as of May 10, 2017, amends that certain Amended and Restated Employment Agreement, dated as of July 1, 2007 (the “Agreement”), as previously amended by that First Amendment dated December 15, 2008, by and between Entercom Communications Corp., a Pennsylvania corporation (“Employer” or the “Company”) and Joseph M. Field (“Executive”).

This Agreement is made as of August 3, 2017, by and between Entercom Communications Corp., a Pennsylvania corporation (hereinafter referred to as the “Company” or “we”), and Andrew Sutor (hereinafter referred to as “Employee” or “you”).
