THIS REGISTRATION RIGHTS AGREEMENT (this “Agreement”), executed as of July 12, 2017, is made between Managed Duration Investment Grade Municipal Fund, a closed-end fund formed in Delaware (the “Fund”), and Wells Fargo Municipal Capital Strategies, LLC, a Delaware limited liability company, including its successors by merger or operation of law (the “Shareholder”).
