Tidewater Marine Fleet, L.L.C., a Louisiana limited liability company, has been formed under the laws of Louisiana by the filing of Articles of Organization (the “Articles”) pursuant to the Louisiana Limited Liability Company Law, La. R.S. 12:1301, et seq. (as amended from time to time and any successor statute, the “Act”) on behalf of the Members. Prior to the date of this Amended and Restated Operating Agreement (“Agreement”), the affairs of the Company were governed by that certain Operating Agreement, dated June 12, 2015 (the “Original Agreement”). The parties to this Operating Agreement, as the Members, enter into this Operating Agreement as the Company’s and their binding agreement and for all purposes permitted for an operating agreement under Louisiana law.
