Prestidge, Jr. (“Executive”) are parties to that certain Employment Agreement (the “Employment Agreement”) dated as of September 26, 2014 and effective as of March 24, 2015; and

Heidt (“Executive”) are parties to that certain Employment Agreement (the “Employment Agreement”) effective as of March 24, 2015 (the “Effective Date”), the date of the consummation of the transactions contemplated by the Agreement and Plan of Merger dated as of June 25, 2014 by and among Nabors Industries Ltd., the Company and C&J Energy Services, Inc.; and
