This Amended and Restated Sub-Advisory Agreement, dated October 1, 2016 (the “Agreement”), by and between ALLIANZ GLOBAL INVESTORS U.S. LLC, a Delaware limited liability company (the “Manager”), and NFJ INVESTMENT GROUP LLC, a Delaware limited liability company (the “Sub-Adviser”), amends and restates the Sub-Advisory Agreement, dated as of June 24, 2009 (the “Prior Agreement”), by and between ALLIANZ GLOBAL INVESTORS FUND MANAGEMENT LLC, a Delaware limited liability company (“AGIFM”) and the Sub-Adviser.

This AMENDED AND RESTATED ADMINISTRATION AGREEMENT, made this 1st day of October, 2016, between Allianz Funds Multi-Strategy Trust (the “Trust”), a Massachusetts business trust, and Allianz Global Investors U.S. LLC (“AllianzGI U.S.” or the “Administrator”), a limited liability company organized under the laws of Delaware, amends and restates the Amended and Restated Administration Agreement (the “Prior Agreement”), dated as of December 13, 2013, between the Trust and Allianz Global Investors Fund Management LLC (“AGIFM”).

This Amended and Restated Investment Management Agreement, dated October 1, 2016 (the “Agreement”), by and between ALLIANZ GLOBAL INVESTORS U.S. LLC, a Delaware limited liability company (the “Manager”) and ALLIANZ FUNDS MULTI-STRATEGY TRUST, a Massachusetts business trust (the “Trust”), on behalf of each series of the Trust identified from time to time on Schedule A to this Agreement (each, a “Fund” and together, the “Funds”) amends and restates the Amended and Restated Investment Management Agreement, dated as of September 1, 2011 (the “Prior Agreement”), between Allianz Global Investors Fund Management LLC (“AGIFM”) and the Trust.
