SECOND AMENDMENT dated as June 21, 2016 (the “Amendment”) to the Second Amended and Restated Deposit Agreement dated as of July 2, 2013, as amended by that certain Amendment to Deposit Agreement dated as of June 26, 2015 (the “Deposit Agreement”) among Koninklijke Ahold N.V., incorporated under the laws of the Netherlands as a public company with limited liability (the “Company”), Deutsche Bank Trust Company Americas, an indirect wholly owned subsidiary of Deutsche Bank AG, in its capacity as the successor depositary (the “Depositary”) and all Owners and Beneficial Owners of American Depositary Shares (“American Depositary Shares”) evidenced by American Depositary Receipts (“Receipts”) issued thereunder.
