Weatherford International Ltd., a Bermuda exempted company (the “Company”), proposes to sell to the several underwriters named in Schedule II hereto (the “Underwriters”), for whom you (the “Representatives”) are acting as representatives, the principal amount of its exchangeable senior notes identified in Schedule I hereto (the “Underwritten Notes”). The Company also proposes to grant to the Underwriters an option to purchase up to an additional principal amount of notes set forth in Schedule I hereto to cover over-allotments (the “Option Notes”; the Option Notes, together with the Underwritten Notes, hereinafter called the “Notes”). As used herein, the term “Underwritten Securities” collectively refers to the Underwritten Notes and Guarantees (defined below), the term “Option Securities” collectively refers to the Option Notes and Guarantees, and the term “Securities” collectively refers to the Underwritten Securities and Option Securities.
