THIS CONTRIBUTION AGREEMENT (as amended, modified or supplemented from time to time, this “Agreement”), is made and entered into as of December 22, 2015, by and between JBS USA Holdings, Inc. a corporation organized and existing under the laws of the State of Delaware (the “Contributor”) and JBS Wisconsin Properties, LLC, a Wisconsin limited liability company (the “Recipient”).

The undersigned hereby agree that Amendment No. 6, dated December 28, 2015 (“Amendment No. 6”), to the Schedule 13D previously filed on January 7, 2010 (the “Original Schedule 13D”) with respect to the Common Stock, par value $.01 per share, of Pilgrim’s Pride Corporation is, and any subsequent amendments to the Original Schedule 13D executed by each of the undersigned shall be, filed on behalf of each of the undersigned pursuant to and in accordance with the provisions of Rule 13d-1(k)(1) under the Securities and Exchange Act of 1934, as amended, and this Agreement shall be included as an Exhibit to Amendment No. 6 and each such subsequent amendment to the Original Schedule 13D. Each of the undersigned agrees to be responsible for the timely filing of any subsequent amendments to the Original Schedule 13D, and for the completeness and accuracy of the information concerning itself contained therein.
