THIS TAX MATTERS AGREEMENT (this “Agreement”), dated as of , 2015, is by and between FIDELITY NATIONAL FINANCIAL, INC., a Delaware corporation (“FNF”), and J. ALEXANDER’S HOLDINGS, INC., a Tennessee corporation (“JAX”). Each of FNF and JAX is sometimes referred to herein as a “Party” and, collectively, as the “Parties.” Defined terms herein shall have the meanings set forth in Article I hereof.
