This SECOND AMENDED AND RESTATED LIMITED LIABILITY COMPANY AGREEMENT of ATLAS RESOURCE PARTNERS HOLDINGS, LLC (the “Company”) dated as of June 16, 2015 is made by Atlas Resource Partners, L.P., a Delaware limited partnership (“ARP”), as the sole member of the Company as of the date hereof.

This AMENDED AND RESTATED LIMITED LIABILITY COMPANY AGREEMENT (this “Agreement”) of ATLS PRODUCTION COMPANY, LLC (the “Company”), effective as of February 26, 2015, is made by Atlas Energy Group, LLC, a Delaware limited liability company (“AEG”), as the successor of Atlas Energy, L.P., a Delaware limited partnership and formerly the sole member of the Company (“ATLS”), pursuant to Section 18-801(a)(4) of the Delaware Limited Liability Company Act, as amended (the “Act”).
