THIRD AMENDED AND RESTATED CREDIT AGREEMENT (this “Agreement”) dated as of May 28, 2014 (as amended by Amendment No. 1 on August 20, 2014 and Amendment No. 2 on July 16, 2015) among CONSTELLATION BRANDS, INC., a Delaware corporation, CIH International S.à r.l., a private limited liability company (société à responsabilité limitée) incorporated under the laws of Luxembourg, having its registered office at 5, rue Guillaume Kroll, L-1882 Luxembourg and registered with the Luxembourg trade and companies register under number B 176.850 with a share capital of US$1,000,000, the LENDERS party hereto, BANK OF AMERICA, N.A., as Administrative Agent and the other parties hereto.
