THIS PURCHASE AND SALE AGREEMENT (this “Agreement”), dated as of April 4, 2015, is made by and between Pattern Canada Finance Company ULC, a Nova Scotia unlimited liability company (“Purchaser”), and Pattern Energy Group LP, a Delaware limited partnership (“Seller”). Capitalized terms used in this Agreement shall have the respective meanings specified in Appendix A-1 attached hereto.
