THIS AMENDED AND RESTATED CREDIT AGREEMENT, dated as of May 15, 2015, is entered into by and among RenaissanceRe Holdings Ltd., a Bermuda company (the “Borrower”), various financial institutions from time to time party hereto (the “Lenders”) and Wells Fargo Bank, National Association (“Wells Fargo”), as Administrative Agent.

THIS GUARANTY AGREEMENT, dated as of May 15, 2015 (this “Guaranty”), is made by each of the undersigned Subsidiaries of RENAISSANCERE HOLDINGS LTD., a Bermuda company (the “Borrower”), and each other Subsidiary of the Borrower that, after the date hereof, executes an instrument of accession hereto substantially in the form of Exhibit A (a “Guarantor Accession”; the undersigned and such other Subsidiaries of the Borrower, collectively, the “Guarantors”), in favor of the Guaranteed Parties (as hereinafter defined).
