People’s Utah Bancorp, a Utah corporation (the “Company”), and the shareholders of the Company listed in Annex I hereto (the “Selling Shareholders”) severally propose to sell to the several underwriters named in Annex II hereto (each an “Underwriter” and, collectively, the “Underwriters”), for which you are acting as representative (the “Representative”), an aggregate of [ ] common shares (the “Firm Shares”) of the Company, $0.01 par value per share (the “Common Shares”). The Firm Shares consist of [ ] authorized but unissued Common Shares to be issued and sold by the Company and [ ] outstanding Common Shares to be sold by the Selling Shareholders. In addition, the Company has granted to the several Underwriters an option to purchase up to an additional [ ] Common Shares (the “Option Shares”) as provided in Section 2 hereof.
