THIS FIRST AMENDMENT TO CREDIT AGREEMENT, dated as of March 5, 2015 (this “Amendment”), is among AMERICAN HONDA FINANCE CORPORATION, (the “Borrower”) the banks party hereto, The Bank of Tokyo-Mitsubishi UFJ, Ltd., as Administrative Agent and the other agents party hereto.
