This Assignment and Assumption Agreement (this “Assumption Agreement”) is made and entered as of the 1st day of March 2015, by and between Phoenix Bancorp, Inc., a Pennsylvania corporation and bank holding company with its principal offices in Pottsville, Pennsylvania (“Phoenix”), and Mid Penn Bancorp, Inc., a Pennsylvania corporation and bank holding company with its principal offices in Millersburg, Pennsylvania (“Mid Penn”).
