Kemper Corporation, a Delaware corporation (the “Company”), proposes, subject to the terms and conditions stated herein, to issue and sell to the Underwriters named in Schedule I hereto (the “Underwriters”), for whom J.P. Morgan Securities LLC and Wells Fargo Securities, LLC are acting as representatives (the “Representatives” or “you”), an aggregate of $250,000,000 principal amount of the 4.350% Senior Notes due 2025 specified above (the “Securities”) to be issued under the indenture, dated as of February 27, 2014 (the “Base Indenture”), between the Company and The Bank of New York Mellon Trust Company, N.A., as Trustee (the “Trustee”), as supplemented by the second supplemental indenture to be dated as of February 24, 2015 between the Company and the Trustee (the “Supplemental Indenture”, and together with the Base Indenture, the “Indenture”).
