This 364-Day Term Loan Agreement, dated as of December 19, 2014 (this “Agreement”), among BECTON, DICKINSON AND COMPANY, a New Jersey corporation (the “Borrower”), the Lenders (as hereinafter defined) and GOLDMAN SACHS BANK USA, as administrative agent (in such capacity, the “Administrative Agent”) for the Lenders.
