This Amended and Restated Credit Agreement dated as of December 11, 2014 (as amended from time to time, this “Agreement”), is entered into by and among Ameren Corporation, a Missouri corporation (the “Company”), its subsidiary Union Electric Company, d/b/a Ameren Missouri, a Missouri corporation (the “Borrowing Subsidiary” and, together with the Company, the “Borrowers”), the Lenders party hereto and JPMorgan Chase Bank, N.A., as Agent.
