THIS STOCK PURCHASE AGREEMENT (this “Agreement”), dated as of December 10, 2014, is made by and among The Advisory Board Company, a Delaware corporation (the “Purchaser”), Royall Acquisition Co., a Delaware corporation (the “Company”), and Royall Holdings, LLC, a Delaware limited liability company (the “Seller”).
