AMENDED AND RESTATED CREDIT AGREEMENT (this “Agreement”), dated as of April 6, 2012, among CENTURYLINK, INC., a Louisiana corporation (the “Borrower”), the several banks and other financial institutions or entities from time to time parties to this Agreement (the “Lenders”), WELLS FARGO BANK, NATIONAL ASSOCIATION, as administrative agent (in such capacity, the “Administrative Agent”), JPMORGAN CHASE BANK, N.A., as syndication agent (in such capacity, the “Syndication Agent”), and BANK OF AMERICA, N.A., BARCLAYS BANK PLC, CITIBANK, N.A., ROYAL BANK OF CANADA, and MORGAN STANLEY MUFG LOAN PARTNERS, LLC, as co-documentation agents (in such capacity, the “Co-Documentation Agents”).

(the “Borrower”) entered into that certain Amended and Restated Credit Agreement, dated as of April 6, 2012 (as amended, supplemented or otherwise modified prior to the date hereof, the “Credit Agreement” and as amended by the First Amendment (defined below), the “Amended Credit Agreement”), among the Borrower, the several banks and other financial institutions or entities from time to time party thereto (the “Lenders”) and Wells Fargo Bank, National Association, as administrative agent (the “Administrative Agent”);
