THIS SEPARATION AGREEMENT AND GENERAL RELEASE (this “Release”) is made as of September 19, 2014 (the “Execution Date”) by and between T. Ulrich Brechbuhl, an individual (“Executive”), and Emdeon Business Services LLC, a Delaware limited liability company (“Emdeon”). In consideration of the payments and benefits described in Section 2 below be provided to Executive, the sufficiency of which is acknowledged hereby, Executive and Emdeon agree as follows:
