Notwithstanding the foregoing schedule, no fractional Shares shall be issued, and subject to the preceding limitation on the number of Shares available under this Agreement (that is, 150 percent of the related Shares), any fractional Share that would have resulted from the foregoing calculations shall be rounded up to the next whole Share.

The Company, the lenders parties thereto and Citibank, as agent, were parties to that certain Five Year Credit Agreement dated as of May 11, 2005, amended and restated as of July 19, 2007, amended and restated as of December 7, 2010 and further amended and restated as of March 19, 2012 (the “Existing Credit Agreement”). Subject to the satisfaction of the conditions set forth in Section 3.01, the Company, the parties hereto and Citibank, as Agent, desire to amend and restate the Existing Credit Agreement as herein set forth.
