THIS AGREEMENT is made as of the 1st day of October, 2014, between Nuveen Fund Advisors, LLC, a Delaware limited liability company (the “Adviser”), and Nuveen Asset Management, LLC, a Delaware limited liability company (the “Sub-Adviser”).

(NYSE: DRA), a business trust organized and existing under the laws of the Commonwealth of Massachusetts (the “Company”) and Computershare Inc., a Delaware corporation and its fully owned subsidiary Computershare Trust Company, N.A., a national banking association (in its capacity as Depositary, collectively hereunder, the “Depositary” or individually the “Trust Company” and “Computershare,” respectively).

This Letter of Agreement, including the Appendix attached hereto (collectively, this “Agreement”), sets forth the terms and conditions of the engagement of Georgeson Inc. (“Georgeson”) by Diversified Real Asset Income Fund (the “Company”) to act as its Information Agent in connection with a tender offer to purchase up to 10 percent of the outstanding common shares for cash at a price per share equal to 99 percent of the net asset value per share by the Company (the “Offer”). The term of this Agreement shall be the term of the Offer, including any extensions thereof.
