This COMMERCIALIZATION AGREEMENT (this “Agreement”) is made as of August 22, 2011 (the “Effective Date”), by and between Depomed, Inc., a California corporation (“Depomed”), and Santarus, Inc., a Delaware corporation (“Santarus”). Each of Depomed and Santarus is referred to herein individually as a “party” and collectively as the “parties.”

THIS MANUFACTURING AND SUPPLY AGREEMENT (the “AGREEMENT”) is made effective as of the 27th day of September, 2004 (the “EFFECTIVE DATE”), by and between SANTARUS, INC., a Delaware corporation, having offices at 10590 West Ocean Air Drive, Suite 200, San Diego, California 92130, U.S.A. (“SANTARUS”) and OSG Norwich Pharmaceuticals Inc., a Delaware corporation, having offices at 6826 State Highway 12, Norwich, New York 13815 (“MANUFACTURER”). Manufacturer and Santarus are sometimes referred to herein individually as a “PARTY” and collectively as the “PARTIES.”

THIS AMENDMENT (the “Amendment”) is made effective as of the 15th day of April, 2014 (the “Effective Date”), by and among Santarus, Inc., a Delaware corporation having a principal place of business at 8510 Colonnade Center Drive Raleigh NC 27615 (“Santarus”) and Norwich Pharmaceuticals Inc., a Delaware corporation, having offices at 6826 State Highway 12, Norwich, New York 13815 (“Manufacturer”). Manufacturer and Santarus are sometimes referred to herein individually as a “Party” and collectively as the “Parties.”
