This Indemnification Agreement (this “Agreement”) is dated as of , and is between Otonomy, Inc., a Delaware corporation (the “Company”), and (“Indemnitee”). This Agreement supersedes and replaces any and all previous agreements between the Company and Indemnitee covering the subject matter of this Agreement.

This Employment Agreement (the “Agreement”) is entered into by and between Otonomy, Inc. (the “Company”), and David A. Weber, Ph.D. (“Executive”) as of the date the Company and Executive have each executed this Agreement, as set forth below. The terms of this Agreement will become effective on the effective date of the first registration statement that is filed by the Company and declared effective pursuant to Section 12(g) of the Securities Exchange Act of 1934, as amended, with respect to any class of the Company’s securities (the “Effective Date”).
