The Securities are to be issued pursuant to the provisions of an Indenture, dated as of February 14, 2003, as amended and supplemented (the “Base Indenture”) and to be further supplemented by the Ninth Supplemental Indenture, to be dated as of August 6, 2014 (the “Supplemental Indenture” and together with the Base Indenture, the “Indenture”), each between the Company and The Bank of New York Mellon, as Trustee (the “Trustee”).
