THIS FIRST AMENDED AND RESTATED EMPLOYMENT, NON-COMPETITION AND PROPRIETARY RIGHTS AGREEMENT (the “Agreement”) is made as of this 2nd day of May, 2011, and amends and restates that certain Employment, Non-Competition and Proprietary Rights Agreement (the “Original Agreement”) effective as of December 2, 2009 by and between Vitacost.Com, Inc., a Delaware corporation (the “Company”), and Mary Marbach (the “Employee”).
