This Amended and Restated Employment Agreement (the “Agreement”), entered into on April 22, 2014 (the “Effective Date”), is made by and between Andrew Young (the “Executive”) and Mad Catz Interactive, Inc., a corporation existing under the federal laws of Canada (together with any of its subsidiaries and affiliates as may employ the Executive from time to time, and any successor(s) thereto, the “Company”).
