THIS PURCHASE AND SALE AGREEMENT (this “Agreement”), dated May 30, 2014 is by and between Penn Virginia Oil & Gas Corporation, a Virginia corporation whose mailing address is 840 Gessner, Suite 800, Houston, Texas 77024 (“Seller”), and KKR Management Holdings L.P., a Delaware limited partnership whose mailing address is 9 West 57th Street, Suite 4200, New York, New York 10019 (“Buyer”). Seller and Buyer are referred to individually as a “Party” and collectively as the “Parties.”
