THIS AGREEMENT, made and entered into as of this 6 day of, August, 2010, by and among AXA EQUITABLE LIFE INSURANCE COMPANY (the “Company’), a New York life insurance company, on its own behalf and on behalf of its separate accounts (the “Accounts”); Neuberger Berman Advisers Management Trust, an open-end management investment company organized under the laws of Delaware (the “Fund”); Neuberger Berman Management LLC, the investment adviser and principal underwriter of the Fund (the “Distributor”), a limited liability company organized under the laws of New York.
